4. Intellectual Property: We retain ownership of all intellectual property rights related to the Service and its content. You retain ownership of your data and content created using the Service.
5. User Content: You are solely responsible for the content you create and upload using the Service. You represent and warrant that you have the right to use and share such content.
6. Third party contents: We may offer access to third-party services or content through our platform as a convenience to you. However, we are not responsible for these services or content. We recommend reviewing the terms of service of any third-party provider before using their offerings.
7. Limitation of Liability: We shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Service.  
8. Fee policies: Subscription fees are charged upfront and automatically processed through your credit card. Sales tax applies where applicable. We use Paddle for secure payment processing.
9. Termination: We may terminate your account and access to the service at any time, without cause or notice.

AppAlloy Obligations

Availability and Uptime

AppAlloy strives to make the platform available 24/7. However, there may be scheduled maintenance periods or unforeseen circumstances beyond our control that lead to downtime. These events could include natural disasters, infrastructure issues, cyberattacks, or other situations that require us to temporarily take the platform offline.

Security

We take security seriously and implement industry-standard practices to protect your data. This includes technical, logical, and physical security measures designed to safeguard the platform, user apps, and your content.

Supports

We offer several resources to help you use the platform effectively, including:

• Training Materials: Interactive tutorials and training guides to help you learn the platform at your own pace.
• Support Center: For users with paid subscriptions, dedicated support is available through the AppAlloy Help Center. Before contacting support, we recommend checking our extensive self-help resources. These resources address many common issues.

User Account

To use our platform, you must be at least 13 years old or have your parent’s or guardian’s permission. If you are under 13, you may not use this platform.

If you are a parent or guardian agreeing to these Terms for your child, you are legally responsible for your child’s use of the platform.

Account Creation and User Types

To use our platform, you must create a user account. This account grants you access to our app creation and management tools. Users with such access are considered "Direct Users." Unless specified otherwise, all references to "you" in this Agreement refer to Direct Users.

When creating or updating your account, please provide accurate and up-to-date contact information. If you're subscribing to a paid plan or accessing the marketplace, we'll also need payment details. Your personal information is handled according to our Privacy Policy.

Account Security

Each user must have unique login credentials to access the platform. These credentials should be kept confidential. Only one person can use an account at a time. If you suspect unauthorized access, inform us immediately. We reserve the right to monitor account activity and may suspend or terminate accounts for security reasons.

Intellectual Property

We understand that disputes over account or AppAlloy apps ownership can arise between parties. While we prefer to avoid involvement in such matters, we reserve the right to intervene if necessary.

If a dispute arises, we may request documentation to verify ownership, such as government-issued identification or business registration. We will make a determination based on the available evidence and our sole discretion. We may suspend the account or AppAlloy apps until the dispute is resolved.

• Platform Ownership: AppAlloy retains all rights to the platform, its features, and updates.
• User Content Ownership: You own your content created using the platform. However, you grant AppAlloy a limited license to use it for platform improvement and marketing purposes.
• Feedback: Any suggestions you provide are appreciated but become AppAlloy property.
• Data Ownership: AppAlloy owns aggregated data about platform usage (like performance metrics) but not your personal or customer data.
• Trademark Ownership: Both you and AppAlloy retain ownership of your respective trademarks. You grant AppAlloy a limited license to use your trademarks for attribution purposes.

User Content

This section is about user content ownership, indemnification, and user conduct. 

You retain ownership of any content you create or upload to the platform. However, by sharing this content, you grant us a non-exclusive license to use it for platform operations. You are solely responsible for your content and must ensure it doesn't infringe on others' rights. We may remove content that violates our terms.

We prioritize platform security and user privacy. You are responsible for protecting your account credentials. We implement industry-standard security measures to protect your data.

We strive for continuous platform availability but cannot guarantee uninterrupted service. We are not liable for damages caused by service interruptions beyond our control.

Third party contents

• Your Responsibility: You are responsible for adhering to the terms of service for any third-party services you use with the platform. AppAlloy is not liable for their performance. However, we strive to maintain compatibility with widely used third-party services.
• Third-Party Content: We may offer content from third parties on the platform. AppAlloy does not guarantee the accuracy or completeness of this content. We reserve the right to remove any third-party content that violates the law or infringes on third-party rights.

Limitation of Liability

To the maximum extent permitted by law, in no event shall AppAlloy, its affiliates, officers, directors, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) the use of or inability to use the Service; (ii) the cost of procurement of substitute goods and services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; (v) or any other matter relating to the Service.

In no event shall AppAlloy total liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) exceed the amount paid by you to AppAlloy for the Service during the twelve (12) month period immediately preceding the date on which the claim arose.  

Disclaimer of Warranties

The Service is provided “as is” and without warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. AppAlloy makes no guarantees about the accuracy, reliability, completeness, or timeliness of the content, services, software, text, graphics, links, or other items contained within the Service.  

Fee policies

Free and Paid Plans: While basic features are free, some functionalities require a paid subscription plan. You can find details on available plans, features, and pricing on our website

Subscription Fees: Fees for subscriptions are charged upfront for each billing period. The initial payment occurs when you subscribe. All fees will be processed according to the terms and charges in effect at that time.

Payment Methods: To subscribe to AppAlloy premium account, you'll need to provide a valid payment method like a credit card. Keep your payment information updated in your account settings.

Automatic Renewal: Subscriptions will automatically renew for the same period at the current rate unless canceled. You authorize us to charge your payment method at the beginning of each subscription period. If a payment fails, your subscription may be terminated.

Refund: Due to the nature of our service as a digital product, we do not offer refunds once the purchase has been completed. We encourage you to carefully review our service details and pricing before making a purchase.

Cancellation: You can cancel your subscription anytime, or contact our support team for more information before cancellation. Monthly subscriptions can be canceled at any time. Annual subscriptions automatically renew unless canceled before the anniversary of your subscription start date.

Cancellation Effects: Upon cancellation, you will lose access to paid features and any custom domain connected to your account.

Taxes: Applicable taxes will be automatically calculated and added to your order. You are responsible for any withholding taxes imposed on your payments to us.

Payment Processing: We utilize Paddle for secure payment processing. By subscribing or purchasing User Components, you agree to Paddle’s Privacy Policy and authorize us to share your payment information with them for transaction completion.

Termination

Termination by us: We may suspend or terminate your account without notice if you violate these Terms, fail to pay, or if required by law. We'll refund any prepaid fees for services not yet used if we terminate due to a legal requirement.

Termination by You: You can cancel your subscription at any time, but you'll lose access to paid features.

Effects of Termination: Upon termination, your access to the platform and its features ends, except for specific provisions outlined in other sections of this agreement.
